合作目的 / Purpose

资料仅用于 Sample / Prototype 报价、评估和打样。 Materials are provided only for sample/prototype quotation, evaluation and prototyping.

保密义务 / Non-Disclosure

不得披露、转发、复制或展示给第三方。 No disclosure, forwarding, copying or showing to third parties.

不使用义务 / Non-Use

不得自行使用、复制、仿制、生产、销售、宣传或注册。 No own use, copying, imitation, manufacturing, selling, promotion or registration.

不绕过义务 / Non-Circumvention

未经同意不得绕过披露方或利用相关 IP、供应商、客户或商业机会。 No circumvention or use of related IP, suppliers, customers or business opportunities without consent.

无授权 / No License

本协议不构成任何生产、销售、使用、转让、许可、注册或其他权利的授予。 This Agreement does not grant any manufacturing, sales, use, transfer, license or registration rights.

资料返还或删除 / Return or Deletion

披露方要求时，接收方应立即返还、删除或销毁所有相关资料。 Upon request, materials must be returned, deleted or destroyed.

违约责任 / Liability for Breach

每次违约 RMB 100,000。若实际损失更高，还应赔偿实际损失、律师费、调查费、诉讼费、商业损失和声誉损失。

有效期 / Term

NNN 义务有效期五年。与 IP、角色设计、著作权、商标和商业使用相关的限制不因五年期满而自动终止。

语言及效力 / Language

中英文双语。如有不一致，以中文为准。 Chinese and English. In case of inconsistency, Chinese prevails.
